     8 <P><B></B><FONT size=3></FONT>
       
     9 <P><FONT size=3></FONT><FONT size=2>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER 
       
    10 THE TERMS OF THIS COMMON PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR 
       
    11 DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS 
       
    12 AGREEMENT.</FONT> 
       
    13 <P><FONT size=2></FONT>
       
    14 <P><FONT size=2><B>1. DEFINITIONS</B></FONT> 
       
    15 <P><FONT size=2>"Contribution" means:</FONT> 
       
    16 <UL><FONT size=2>a) in the case of the initial Contributor, the initial code 
       
    17   and documentation distributed under this Agreement, and<BR clear=left>b) in 
       
    18   the case of each subsequent Contributor:</FONT></UL>
       
    19 <UL><FONT size=2>i) changes to the Program, and</FONT></UL>
       
    20 <UL><FONT size=2>ii) additions to the Program;</FONT></UL>
       
    21 <UL><FONT size=2>where such changes and/or additions to the Program originate 
       
    22   from and are distributed by that particular Contributor. </FONT><FONT size=2>A 
       
    23   Contribution 'originates' from a Contributor if it was added to the Program by 
       
    24   such Contributor itself or anyone acting on such Contributor's behalf. 
       
    25   </FONT><FONT size=2>Contributions do not include additions to the Program 
       
    26   which: (i) are separate modules of software distributed in conjunction with 
       
    27   the Program under their own license agreement, and (ii) are not derivative 
       
    28   works of the Program. </FONT></UL>
       
    29 <P><FONT size=2></FONT>
       
    30 <P><FONT size=2>"Contributor" means any person or entity that distributes the 
       
    31 Program.</FONT> 
       
    32 <P><FONT size=2></FONT><FONT size=2></FONT>
       
    33 <P><FONT size=2>"Licensed Patents " mean patent claims licensable by a 
       
    34 Contributor which are necessarily infringed by the use or sale of its 
       
    35 Contribution alone or when combined with the Program. </FONT>
       
    36 <P><FONT size=2></FONT><FONT size=2></FONT>
       
    37 <P><FONT size=2></FONT><FONT size=2>"Program" means the Contributions 
       
    38 distributed in accordance with this Agreement.</FONT> 
       
    39 <P><FONT size=2></FONT>
       
    40 <P><FONT size=2>"Recipient" means anyone who receives the Program under this 
       
    41 Agreement, including all Contributors.</FONT> 
       
    42 <P><FONT size=2><B></B></FONT>
       
    43 <P><FONT size=2><B>2. GRANT OF RIGHTS</B></FONT> 
       
    44 <UL><FONT size=2></FONT><FONT size=2>a) </FONT><FONT size=2>Subject to the 
       
    45   terms of this Agreement, each Contributor hereby grants</FONT><FONT size=2> 
       
    46   Recipient a non-exclusive, worldwide, royalty-free copyright license 
       
    47   to</FONT><FONT color=#ff0000 size=2> </FONT><FONT size=2>reproduce, prepare 
       
    48   derivative works of, publicly display, publicly perform, distribute and 
       
    49   sublicense the Contribution of such Contributor, if any, and such derivative 
       
    50   works, in source code and object code form.</FONT></UL>
       
    51 <UL><FONT size=2></FONT></UL>
       
    52 <UL><FONT size=2></FONT><FONT size=2>b) Subject to the terms of this 
       
    53   Agreement, each Contributor hereby grants </FONT><FONT size=2>Recipient a 
       
    54   non-exclusive, worldwide,</FONT><FONT color=#008000 size=2> </FONT><FONT 
       
    55   size=2>royalty-free patent license under Licensed Patents to make, use, sell, 
       
    56   offer to sell, import and otherwise transfer the Contribution of such 
       
    57   Contributor, if any, in source code and object code form. This patent license 
       
    58   shall apply to the combination of the Contribution and the Program if, at the 
       
    59   time the Contribution is added by the Contributor, such addition of the 
       
    60   Contribution causes such combination to be covered by the Licensed Patents. 
       
    61   The patent license shall not apply to any other combinations which include the 
       
    62   Contribution. No hardware per se is licensed hereunder. </FONT></UL>
       
    63 <UL><FONT size=2></FONT></UL>
       
    64 <UL><FONT size=2>c) Recipient understands that although each Contributor 
       
    65   grants the licenses to its Contributions set forth herein, no assurances are 
       
    66   provided by any Contributor that the Program does not infringe the patent or 
       
    67   other intellectual property rights of any other entity. Each Contributor 
       
    68   disclaims any liability to Recipient for claims brought by any other entity 
       
    69   based on infringement of intellectual property rights or otherwise. As a 
       
    70   condition to exercising the rights and licenses granted hereunder, each 
       
    71   Recipient hereby assumes sole responsibility to secure any other intellectual 
       
    72   property rights needed, if any. For example, if a third party patent license 
       
    73   is required to allow Recipient to distribute the Program, it is Recipient's 
       
    74   responsibility to acquire that license before distributing the 
       
    75 Program.</FONT></UL>
       
    76 <UL><FONT size=2></FONT></UL>
       
    77 <UL><FONT size=2>d) Each Contributor represents that to its knowledge it has 
       
    78   sufficient copyright rights in its Contribution, if any, to grant the 
       
    79   copyright license set forth in this Agreement. </FONT></UL>
       
    80 <UL><FONT size=2></FONT></UL>
       
    81 <P><FONT size=2><B>3. REQUIREMENTS</B></FONT> 
       
    82 <P><FONT size=2><B></B>A Contributor may choose to distribute the Program in 
       
    83 object code form under its own license agreement, provided that:</FONT> 
       
    84 <UL><FONT size=2>a) it complies with the terms and conditions of this 
       
    85   Agreement; and</FONT></UL>
       
    86 <UL><FONT size=2>b) its license agreement:</FONT></UL>
       
    87 <UL><FONT size=2>i) effectively disclaims</FONT><FONT size=2> on behalf of all 
       
    88   Contributors all warranties and conditions, express and implied, including 
       
    89   warranties or conditions of title and non-infringement, and implied warranties 
       
    90   or conditions of merchantability and fitness for a particular purpose; 
       
    91 </FONT></UL>
       
    92 <UL><FONT size=2>ii) effectively excludes on behalf of all Contributors all 
       
    93   liability for damages, including direct, indirect, special, incidental and 
       
    94   consequential damages, such as lost profits; </FONT></UL>
       
    95 <UL><FONT size=2>iii)</FONT><FONT size=2> states that any provisions which 
       
    96   differ from this Agreement are offered by that Contributor alone and not by 
       
    97   any other party; and</FONT></UL>
       
    98 <UL><FONT size=2>iv) states that source code for the Program is available from 
       
    99   such Contributor, and informs licensees how to obtain it in a reasonable 
       
   100   manner on or through a medium customarily used for software 
       
   101   exchange.</FONT><FONT color=#0000ff size=2> </FONT><FONT color=#ff0000 
       
   102   size=2></FONT></UL>
       
   103 <UL><FONT color=#ff0000 size=2></FONT><FONT size=2></FONT></UL>
       
   104 <P><FONT size=2>When the Program is made available in source code form:</FONT> 
       
   105 <UL><FONT size=2>a) it must be made available under this Agreement; and 
       
   106 </FONT></UL>
       
   107 <UL><FONT size=2>b) a copy of this Agreement must be included with each copy 
       
   108   of the Program. </FONT></UL>
       
   109 <P><FONT size=2></FONT><FONT color=#0000ff size=2><STRIKE></STRIKE></FONT>
       
   110 <P><FONT color=#0000ff size=2><STRIKE></STRIKE></FONT><FONT size=2>Contributors 
       
   111 may not remove or alter any copyright notices contained within the Program. 
       
   112 </FONT>
       
   113 <P><FONT size=2></FONT>
       
   114 <P><FONT size=2>Each Contributor must identify itself as the originator of its 
       
   115 Contribution, if any, in a manner that reasonably allows subsequent Recipients 
       
   116 to identify the originator of the Contribution. </FONT>
       
   117 <P><FONT size=2></FONT>
       
   118 <P><FONT size=2><B>4. COMMERCIAL DISTRIBUTION</B></FONT> 
       
   119 <P><FONT size=2>Commercial distributors of software may accept certain 
       
   120 responsibilities with respect to end users, business partners and the like. 
       
   121 While this license is intended to facilitate the commercial use of the Program, 
       
   122 the Contributor who includes the Program in a commercial product offering should 
       
   123 do so in a manner which does not create potential liability for other 
       
   124 Contributors. Therefore, if a Contributor includes the Program in a commercial 
       
   125 product offering, such Contributor ("Commercial Contributor") hereby agrees to 
       
   126 defend and indemnify every other Contributor ("Indemnified Contributor") against 
       
   127 any losses, damages and costs (collectively "Losses") arising from claims, 
       
   128 lawsuits and other legal actions brought by a third party against the 
       
   129 Indemnified Contributor to the extent caused by the acts or omissions of such 
       
   130 Commercial Contributor in connection with its distribution of the Program in a 
       
   131 commercial product offering. The obligations in this section do not apply to any 
       
   132 claims or Losses relating to any actual or alleged intellectual property 
       
   133 infringement. In order to qualify, an Indemnified Contributor must: a) promptly 
       
   134 notify the Commercial Contributor in writing of such claim, and b) allow the 
       
   135 Commercial Contributor to control, and cooperate with the Commercial Contributor 
       
   136 in, the defense and any related settlement negotiations. The Indemnified 
       
   137 Contributor may participate in any such claim at its own expense.</FONT> 
       
   138 <P><FONT size=2></FONT>
       
   139 <P><FONT size=2>For example, a Contributor might include the Program in a 
       
   140 commercial product offering, Product X. That Contributor is then a Commercial 
       
   141 Contributor. If that Commercial Contributor then makes performance claims, or 
       
   142 offers warranties related to Product X, those performance claims and warranties 
       
   143 are such Commercial Contributor's responsibility alone. Under this section, the 
       
   144 Commercial Contributor would have to defend claims against the other 
       
   145 Contributors related to those performance claims and warranties, and if a court 
       
   146 requires any other Contributor to pay any damages as a result, the Commercial 
       
   147 Contributor must pay those damages.</FONT> 
       
   148 <P><FONT size=2></FONT><FONT color=#0000ff size=2></FONT>
       
   149 <P><FONT color=#0000ff size=2></FONT><FONT size=2><B>5. NO WARRANTY</B></FONT> 
       
   150 <P><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS 
       
   151 PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, 
       
   152 EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR 
       
   153 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A 
       
   154 PARTICULAR PURPOSE. Each Recipient is</FONT><FONT size=2> solely responsible for 
       
   155 determining the appropriateness of using and distributing </FONT><FONT 
       
   156 size=2>the Program</FONT><FONT size=2> and assumes all risks associated with its 
       
   157 exercise of rights under this Agreement</FONT><FONT size=2>, including but not 
       
   158 limited to the risks and costs of program errors, compliance with applicable 
       
   159 laws, damage to or loss of data, </FONT><FONT size=2>programs or equipment, and 
       
   160 unavailability or interruption of operations</FONT><FONT size=2>. </FONT><FONT 
       
   161 size=2></FONT>
       
   162 <P><FONT size=2></FONT>
       
   163 <P><FONT size=2></FONT><FONT size=2><B>6. DISCLAIMER OF LIABILITY</B></FONT> 
       
   164 <P><FONT size=2></FONT><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS 
       
   165 AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR 
       
   166 ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES 
       
   167 </FONT><FONT size=2>(INCLUDING WITHOUT LIMITATION LOST PROFITS),</FONT><FONT 
       
   168 size=2> HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, 
       
   169 STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY 
       
   170 OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS 
       
   171 GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.</FONT> 
       
   172 <P><FONT size=2></FONT><FONT size=2></FONT>
       
   173 <P><FONT size=2><B>7. GENERAL</B></FONT> 
       
   174 <P><FONT size=2></FONT><FONT size=2>If any provision of this Agreement is 
       
   175 invalid or unenforceable under applicable law, it shall not affect the validity 
       
   176 or enforceability of the remainder of the terms of this Agreement, and without 
       
   177 further action by the parties hereto, such provision shall be reformed to the 
       
   178 minimum extent necessary to make such provision valid and enforceable.</FONT> 
       
   179 <P><FONT size=2></FONT>
       
   180 <P><FONT size=2>If Recipient institutes patent litigation against a Contributor 
       
   181 with respect to a patent applicable to software (including a cross-claim or 
       
   182 counterclaim in a lawsuit), then any patent licenses granted by that Contributor 
       
   183 to such Recipient under this Agreement shall terminate as of the date such 
       
   184 litigation is filed. In addition, if Recipient institutes patent litigation 
       
   185 against any entity (including a cross-claim or counterclaim in a lawsuit) 
       
   186 alleging that the Program itself (excluding combinations of the Program with 
       
   187 other software or hardware) infringes such Recipient's patent(s), then such 
       
   188 Recipient's rights granted under Section 2(b) shall terminate as of the date 
       
   189 such litigation is filed. </FONT><FONT size=2></FONT>
       
   190 <P><FONT size=2></FONT>
       
   191 <P><FONT size=2>All Recipient's rights under this Agreement shall terminate if 
       
   192 it fails to comply with any of the material terms or conditions of this 
       
   193 Agreement and does not cure such failure in a reasonable period of time after 
       
   194 becoming aware of such noncompliance. If all Recipient's rights under this 
       
   195 Agreement terminate, Recipient agrees to cease use and distribution of the 
       
   196 Program as soon as reasonably practicable. However, Recipient's obligations 
       
   197 under this Agreement and any licenses granted by Recipient relating to the 
       
   198 Program shall continue and survive. </FONT><FONT size=2></FONT>
       
   199 <P><FONT size=2></FONT>
       
   200 <P><FONT size=2></FONT><FONT size=2>Everyone is permitted to copy and distribute 
       
   201 copies of this Agreement, but in order to avoid inconsistency the Agreement is 
       
   202 copyrighted and may only be modified in the following manner. The Agreement 
       
   203 Steward reserves the right to </FONT><FONT size=2>publish new versions 
       
   204 (including revisions) of this Agreement from time to </FONT><FONT size=2>time. 
       
   205 No one other than the Agreement Steward has the right to modify this Agreement. 
       
   206 IBM is the initial Agreement Steward. IBM may assign the responsibility to serve 
       
   207 as the Agreement Steward to a suitable separate entity. </FONT><FONT size=2>Each 
       
   208 new version of the Agreement will be given a distinguishing version number. The 
       
   209 Program (including Contributions) may always be distributed subject to the 
       
   210 version of the Agreement under which it was received. In addition, after a new 
       
   211 version of the Agreement is published, Contributor may elect to distribute the 
       
   212 Program (including its Contributions) under the new </FONT><FONT size=2>version. 
       
   213 </FONT><FONT size=2>Except as expressly stated in Sections 2(a) and 2(b) above, 
       
   214 Recipient receives no rights or licenses to the intellectual property of any 
       
   215 Contributor under this Agreement, whether expressly, </FONT><FONT size=2>by 
       
   216 implication, estoppel or otherwise</FONT><FONT size=2>.</FONT><FONT size=2> All 
       
   217 rights in the Program not expressly granted under this Agreement are 
       
   218 reserved.</FONT> 
       
   219 <P><FONT size=2></FONT>
       
   220 <P><FONT size=2>This Agreement is governed by the laws of the State of New York 
       
   221 and the intellectual property laws of the United States of America. No party to 
       
   222 this Agreement will bring a legal action under this Agreement more than one year 
       
   223 after the cause of action arose. Each party waives its rights to a jury trial in 
       
   224 any resulting litigation.</FONT>
