3 1. Definitions. |
|

5 1.0.1. "Commercial Use" means distribution or otherwise making the |
|
6 Covered Code available to a third party. |
|

8 1.1. "Contributor" means each entity that creates or contributes to |

9 the creation of Modifications. |
|

|
11 1.2. "Contributor Version" means the combination of the Original Code, |
|
12 prior Modifications used by a Contributor, and the Modifications made |

13 by that particular Contributor. |
|

15 1.3. "Covered Code" means the Original Code or Modifications or the |
|
16 combination of the Original Code and Modifications, in each case |
|
17 including portions thereof and corresponding documentation released |
|
18 with the source code. |

20 1.4. "Electronic Distribution Mechanism" means a mechanism generally |
|
21 accepted in the software development community for the electronic |
|
22 transfer of data. |

24 1.5. "Executable" means Covered Code in any form other than Source |
|
25 Code. |
|

|
27 1.6. "Initial Developer" means the individual or entity identified as |
|
28 the Initial Developer in the Source Code notice required by Exhibit A. |
|

30 1.7. "Larger Work" means a work which combines Covered Code or |
|
31 portions thereof with code not governed by the terms of this License. |
|

|
33 1.8. "License" means this document. |
|

35 1.8.1. "Licensable" means having the right to grant, to the maximum |
|
36 extent possible, whether at the time of the initial grant or |
|
37 subsequently acquired, any and all of the rights conveyed herein. |

39 1.9. "Modifications" means any addition to or deletion from the |
|
40 substance or structure of either the Original Code or any previous |
|
41 Modifications. When Covered Code is released as a series of files, a |
|
42 Modification is: |

44 A. Any addition to or deletion from the contents of a file containing |
|
45 Original Code or previous Modifications. |

47 B. Any new file that contains any part of the Original Code or |
|
48 previous Modifications. |

50 1.10. "Original Code" means Source Code of computer software code |
|
51 which is described in the Source Code notice required by Exhibit A as |
|
52 Original Code, and which, at the time of its release under this |
|
53 License is not already Covered Code governed by this License. |

55 1.10.1. "Patent Claims" means any patent claim(s), now owned or |
|
56 hereafter acquired, including without limitation, method, process, and |
|
57 apparatus claims, in any patent Licensable by grantor. |

59 1.11. "Source Code" means the preferred form of the Covered Code for |
|
60 making modifications to it, including all modules it contains, plus |
|
61 any associated documentation, interface definition files, scripts used |
|
62 to control compilation and installation of an Executable, or source |
|
63 code differential comparisons against either the Original Code or |
|
64 another well known, available Covered Code of the Contributor's |
|
65 choice. The Source Code can be in a compressed or archival form, |
|
66 provided the appropriate decompression or de-archiving software is |
|
67 widely available for no charge. |

69 1.12. "You" (or "Your") means an individual or a legal entity |
|
70 exercising rights under, and complying with all of the terms of, this |
|
71 License or a future version of this License issued under Section 6.1. |

72 For legal entities, "You" includes any entity which controls, is |

73 controlled by, or is under common control with You. For purposes of |
|

83 The Initial Developer hereby grants You a world-wide, royalty-free, |

|
88 trademark) Licensable by Initial Developer to use, reproduce, modify, |
|
89 display, perform, sublicense and distribute the Original Code (or |
|
90 portions thereof) with or without Modifications, and/or as part of a |

91 Larger Work; and |
|

93 (b) under Patent Claims infringed by the making, using or selling of |
|
94 Original Code, to make, have made, use, practice, sell, and offer for |
|
95 sale, and/or otherwise dispose of the Original Code (or portions |
|

98 (c) the licenses granted in this Section 2.1(a) and (b) are effective |
|
99 on the date Initial Developer first distributes Original Code under |
|
100 the terms of this License. |

102 (d) Notwithstanding Section 2.1(b) above, no patent license is |
|
103 granted: 1) for code that You delete from the Original Code; 2) |
|
104 separate from the Original Code; or 3) for infringements caused by: |

105 i) the modification of the Original Code or ii) the combination of the |
|
106 Original Code with other software or devices. |

108 2.2. Contributor Grant. |
|

110 Subject to third party intellectual property claims, each Contributor |
|
111 hereby grants You a world-wide, royalty-free, non-exclusive license |

113 (a) under intellectual property rights (other than patent or |
|
114 trademark) Licensable by Contributor, to use, reproduce, modify, |
|
115 display, perform, sublicense and distribute the Modifications created |
|
116 by such Contributor (or portions thereof) either on an unmodified |
|
117 basis, with other Modifications, as Covered Code and/or as part of a |
|
118 Larger Work; and |
|

120 (b) under Patent Claims infringed by the making, using, or selling of |
|
121 Modifications made by that Contributor either alone and/or in |
|
122 combination with its Contributor Version (or portions of such |
|
123 combination), to make, use, sell, offer for sale, have made, and/or |
|
124 otherwise dispose of: 1) Modifications made by that Contributor (or |
|
125 portions thereof); and 2) the combination of Modifications made by |
|
126 that Contributor with its Contributor Version (or portions of such |
|
127 combination). |

129 (c) the licenses granted in Sections 2.2(a) and 2.2(b) are effective |
|
130 on the date Contributor first makes Commercial Use of the Covered |
|
131 Code. |

133 (d) notwithstanding Section 2.2(b) above, no patent license is |
|
134 granted: 1) for any code that Contributor has deleted from the |
|
135 Contributor Version; 2) separate from the Contributor Version; 3) for |
|
136 infringements caused by: i) third party modifications of Contributor |
|
137 Version or ii) the combination of Modifications made by that |
|
138 Contributor with other software (except as part of the Contributor |
|
139 Version) or other devices; or 4) under Patent Claims infringed by |
|
140 Covered Code in the absence of Modifications made by that Contributor. |

142 3. Distribution Obligations. |
|

144 3.1. Application of License. |
|

146 The Modifications which You create or to which You contribute are |
|
147 governed by the terms of this License, including without limitation |
|
148 Section 2.2. The Source Code version of Covered Code may be |
|
149 distributed only under the terms of this License or a future version |
|
150 of this License released under Section 6.1, and You must include a |
|
151 copy of this License with every copy of the Source Code You |
|
152 distribute. You may not offer or impose any terms on any Source Code |
|
153 version that alters or restricts the applicable version of this |

154 License or the recipients' rights hereunder. However, You may include |

158 3.2. Availability of Source Code. |

183 3.4. Intellectual Property Matters. |

185 (a) Third Party Claims. |

192 sufficient detail that a recipient will know whom to contact. If |

193 Contributor obtains such knowledge after the Modification is made |

196 thereafter and shall take other steps (such as notifying appropriate |

346 shall, upon 60 days notice from Participant terminate prospectively, |

348 agree in writing to pay Participant a mutually agreeable reasonable |

350 Participant, or (ii) withdraw Your litigation claim with respect to |

361 and 2.2(b) are revoked effective as of the date You first made, used, |

362 sold, distributed, or had made, Modifications made by that |
|
363 Participant. |

365 8.3. If You assert a patent infringement claim against Participant |
|
366 alleging that such Participant's Contributor Version directly or |
|
367 indirectly infringes any patent where such claim is resolved (such as |
|
368 by license or settlement) prior to the initiation of patent |
|
369 infringement litigation, then the reasonable value of the licenses |
|
370 granted by such Participant under Sections 2.1 or 2.2 shall be taken |
|
371 into account in determining the amount or value of any payment or |
|
372 license. |

374 8.4. In the event of termination under Sections 8.1 or 8.2 above, all |
|
375 end user license agreements (excluding distributors and resellers) |
|
376 which have been validly granted by You or any distributor hereunder |

377 prior to termination shall survive termination. |

379 9. LIMITATION OF LIABILITY. |

396 10. U.S. GOVERNMENT END USERS. |

398 The Covered Code is a "commercial item," as that term is defined in 48 |

399 C.F.R. 2.101 (Oct. 1995), consisting of "commercial computer software" |

400 and "commercial computer software documentation," as such terms are |
|
401 used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. |

402 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all |
|
403 U.S. Government End Users acquire Covered Code with only those rights |
|
404 set forth herein. |

406 11. MISCELLANEOUS. |

408 This License represents the complete agreement concerning subject |

409 matter hereof. If any provision of this License is held to be |

410 unenforceable, such provision shall be reformed only to the extent |

419 California, with the losing party responsible for costs, including |

434 shall be deemed to constitute any admission of liability. |
