    77 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
       
    78 changes to the Program, and</span></p>
       
    79 
       
    80 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
       
    81 additions to the Program;</span></p>
       
    82 
       
    83 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>where
       
    84 such changes and/or additions to the Program originate from and are distributed
       
    85 by that particular Contributor. A Contribution 'originates' from a Contributor
       
    86 if it was added to the Program by such Contributor itself or anyone acting on
       
    87 such Contributor's behalf. Contributions do not include additions to the
       
    88 Program which: (i) are separate modules of software distributed in conjunction
       
    89 with the Program under their own license agreement, and (ii) are not derivative
       
    90 works of the Program. </span></p>
       
    91 
       
    92 <p><span style='font-size:10.0pt'>&quot;Contributor&quot; means any person or
       
    93 entity that distributes the Program.</span> </p>
       
    94 
       
    95 <p><span style='font-size:10.0pt'>&quot;Licensed Patents &quot; mean patent
       
    96 claims licensable by a Contributor which are necessarily infringed by the use
       
    97 or sale of its Contribution alone or when combined with the Program. </span></p>
       
    98 
       
    99 <p><span style='font-size:10.0pt'>&quot;Program&quot; means the Contributions
       
   100 distributed in accordance with this Agreement.</span> </p>
       
   101 
       
   102 <p><span style='font-size:10.0pt'>&quot;Recipient&quot; means anyone who
       
   103 receives the Program under this Agreement, including all Contributors.</span> </p>
       
   104 
       
   105 <p><b><span style='font-size:10.0pt'>2. GRANT OF RIGHTS</span></b> </p>
       
   106 
       
   107 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
       
   108 Subject to the terms of this Agreement, each Contributor hereby grants Recipient
       
   109 a non-exclusive, worldwide, royalty-free copyright license to<span
       
   110 style='color:red'> </span>reproduce, prepare derivative works of, publicly
       
   111 display, publicly perform, distribute and sublicense the Contribution of such
       
   112 Contributor, if any, and such derivative works, in source code and object code
       
   113 form.</span></p>
       
   114 
       
   115 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
       
   116 Subject to the terms of this Agreement, each Contributor hereby grants
       
   117 Recipient a non-exclusive, worldwide,<span style='color:green'> </span>royalty-free
       
   118 patent license under Licensed Patents to make, use, sell, offer to sell, import
       
   119 and otherwise transfer the Contribution of such Contributor, if any, in source
       
   120 code and object code form. This patent license shall apply to the combination
       
   121 of the Contribution and the Program if, at the time the Contribution is added
       
   122 by the Contributor, such addition of the Contribution causes such combination
       
   123 to be covered by the Licensed Patents. The patent license shall not apply to
       
   124 any other combinations which include the Contribution. No hardware per se is
       
   125 licensed hereunder. </span></p>
       
   126 
       
   127 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>c)
       
   128 Recipient understands that although each Contributor grants the licenses to its
       
   129 Contributions set forth herein, no assurances are provided by any Contributor
       
   130 that the Program does not infringe the patent or other intellectual property
       
   131 rights of any other entity. Each Contributor disclaims any liability to Recipient
       
   132 for claims brought by any other entity based on infringement of intellectual
       
   133 property rights or otherwise. As a condition to exercising the rights and
       
   134 licenses granted hereunder, each Recipient hereby assumes sole responsibility
       
   135 to secure any other intellectual property rights needed, if any. For example,
       
   136 if a third party patent license is required to allow Recipient to distribute
       
   137 the Program, it is Recipient's responsibility to acquire that license before
       
   138 distributing the Program.</span></p>
       
   139 
       
   140 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>d)
       
   141 Each Contributor represents that to its knowledge it has sufficient copyright
       
   142 rights in its Contribution, if any, to grant the copyright license set forth in
       
   143 this Agreement. </span></p>
       
   144 
       
   145 <p><b><span style='font-size:10.0pt'>3. REQUIREMENTS</span></b> </p>
       
   146 
       
   147 <p><span style='font-size:10.0pt'>A Contributor may choose to distribute the
       
   148 Program in object code form under its own license agreement, provided that:</span>
       
   149 </p>
       
   150 
       
   151 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
       
   152 it complies with the terms and conditions of this Agreement; and</span></p>
       
   153 
       
   154 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
       
   155 its license agreement:</span></p>
       
   156 
       
   157 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
       
   158 effectively disclaims on behalf of all Contributors all warranties and
       
   159 conditions, express and implied, including warranties or conditions of title
       
   160 and non-infringement, and implied warranties or conditions of merchantability
       
   161 and fitness for a particular purpose; </span></p>
       
   162 
       
   163 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
       
   164 effectively excludes on behalf of all Contributors all liability for damages,
       
   165 including direct, indirect, special, incidental and consequential damages, such
       
   166 as lost profits; </span></p>
       
   167 
       
   168 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iii)
       
   169 states that any provisions which differ from this Agreement are offered by that
       
   170 Contributor alone and not by any other party; and</span></p>
       
   171 
       
   172 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iv)
       
   173 states that source code for the Program is available from such Contributor, and
       
   174 informs licensees how to obtain it in a reasonable manner on or through a
       
   175 medium customarily used for software exchange.<span style='color:blue'> </span></span></p>
       
   176 
       
   177 <p><span style='font-size:10.0pt'>When the Program is made available in source
       
   178 code form:</span> </p>
       
   179 
       
   180 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
       
   181 it must be made available under this Agreement; and </span></p>
       
   182 
       
   183 <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) a
       
   184 copy of this Agreement must be included with each copy of the Program. </span></p>
       
   185 
       
   186 <p><span style='font-size:10.0pt'>Contributors may not remove or alter any
       
   187 copyright notices contained within the Program. </span></p>
       
   188 
       
   189 <p><span style='font-size:10.0pt'>Each Contributor must identify itself as the
       
   190 originator of its Contribution, if any, in a manner that reasonably allows
       
   191 subsequent Recipients to identify the originator of the Contribution. </span></p>
       
   192 
       
   193 <p><b><span style='font-size:10.0pt'>4. COMMERCIAL DISTRIBUTION</span></b> </p>
       
   194 
       
   195 <p><span style='font-size:10.0pt'>Commercial distributors of software may
       
   196 accept certain responsibilities with respect to end users, business partners
       
   197 and the like. While this license is intended to facilitate the commercial use
       
   198 of the Program, the Contributor who includes the Program in a commercial
       
   199 product offering should do so in a manner which does not create potential
       
   200 liability for other Contributors. Therefore, if a Contributor includes the
       
   201 Program in a commercial product offering, such Contributor (&quot;Commercial
       
   202 Contributor&quot;) hereby agrees to defend and indemnify every other
       
   203 Contributor (&quot;Indemnified Contributor&quot;) against any losses, damages and
       
   204 costs (collectively &quot;Losses&quot;) arising from claims, lawsuits and other
       
   205 legal actions brought by a third party against the Indemnified Contributor to
       
   206 the extent caused by the acts or omissions of such Commercial Contributor in
       
   207 connection with its distribution of the Program in a commercial product
       
   208 offering. The obligations in this section do not apply to any claims or Losses
       
   209 relating to any actual or alleged intellectual property infringement. In order
       
   210 to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
       
   211 Contributor in writing of such claim, and b) allow the Commercial Contributor
       
   212 to control, and cooperate with the Commercial Contributor in, the defense and
       
   213 any related settlement negotiations. The Indemnified Contributor may participate
       
   214 in any such claim at its own expense.</span> </p>
       
   215 
       
   216 <p><span style='font-size:10.0pt'>For example, a Contributor might include the
       
   217 Program in a commercial product offering, Product X. That Contributor is then a
       
   218 Commercial Contributor. If that Commercial Contributor then makes performance
       
   219 claims, or offers warranties related to Product X, those performance claims and
       
   220 warranties are such Commercial Contributor's responsibility alone. Under this
       
   221 section, the Commercial Contributor would have to defend claims against the
       
   222 other Contributors related to those performance claims and warranties, and if a
       
   223 court requires any other Contributor to pay any damages as a result, the
       
   224 Commercial Contributor must pay those damages.</span> </p>
       
   225 
       
   226 <p><b><span style='font-size:10.0pt'>5. NO WARRANTY</span></b> </p>
       
   227 
       
   228 <p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
       
   229 AGREEMENT, THE PROGRAM IS PROVIDED ON AN &quot;AS IS&quot; BASIS, WITHOUT
       
   230 WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
       
   231 WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
       
   232 MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
       
   233 responsible for determining the appropriateness of using and distributing the
       
   234 Program and assumes all risks associated with its exercise of rights under this
       
   235 Agreement , including but not limited to the risks and costs of program errors,
       
   236 compliance with applicable laws, damage to or loss of data, programs or
       
   237 equipment, and unavailability or interruption of operations. </span></p>
       
   238 
       
   239 <p><b><span style='font-size:10.0pt'>6. DISCLAIMER OF LIABILITY</span></b> </p>
       
   240 
       
   241 <p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
       
   242 AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
       
   243 ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
       
   244 (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
       
   245 OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
       
   246 NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
       
   247 THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
       
   248 THE POSSIBILITY OF SUCH DAMAGES.</span> </p>
       
   249 
       
   250 <p><b><span style='font-size:10.0pt'>7. GENERAL</span></b> </p>
       
   251 
       
   252 <p><span style='font-size:10.0pt'>If any provision of this Agreement is invalid
       
   253 or unenforceable under applicable law, it shall not affect the validity or
       
   254 enforceability of the remainder of the terms of this Agreement, and without
       
   255 further action by the parties hereto, such provision shall be reformed to the
       
   256 minimum extent necessary to make such provision valid and enforceable.</span> </p>
       
   257 
       
   258 <p><span style='font-size:10.0pt'>If Recipient institutes patent litigation
       
   259 against any entity (including a cross-claim or counterclaim in a lawsuit)
       
   260 alleging that the Program itself (excluding combinations of the Program with
       
   261 other software or hardware) infringes such Recipient's patent(s), then such
       
   262 Recipient's rights granted under Section 2(b) shall terminate as of the date
       
   263 such litigation is filed. </span></p>
       
   264 
       
   265 <p><span style='font-size:10.0pt'>All Recipient's rights under this Agreement
       
   266 shall terminate if it fails to comply with any of the material terms or
       
   267 conditions of this Agreement and does not cure such failure in a reasonable
       
   268 period of time after becoming aware of such noncompliance. If all Recipient's
       
   269 rights under this Agreement terminate, Recipient agrees to cease use and
       
   270 distribution of the Program as soon as reasonably practicable. However,
       
   271 Recipient's obligations under this Agreement and any licenses granted by
       
   272 Recipient relating to the Program shall continue and survive. </span></p>
       
   273 
       
   274 <p><span style='font-size:10.0pt'>Everyone is permitted to copy and distribute
       
   275 copies of this Agreement, but in order to avoid inconsistency the Agreement is
       
   276 copyrighted and may only be modified in the following manner. The Agreement
       
   277 Steward reserves the right to publish new versions (including revisions) of
       
   278 this Agreement from time to time. No one other than the Agreement Steward has
       
   279 the right to modify this Agreement. The Eclipse Foundation is the initial
       
   280 Agreement Steward. The Eclipse Foundation may assign the responsibility to
       
   281 serve as the Agreement Steward to a suitable separate entity. Each new version
       
   282 of the Agreement will be given a distinguishing version number. The Program
       
   283 (including Contributions) may always be distributed subject to the version of
       
   284 the Agreement under which it was received. In addition, after a new version of
       
   285 the Agreement is published, Contributor may elect to distribute the Program
       
   286 (including its Contributions) under the new version. Except as expressly stated
       
   287 in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
       
   288 the intellectual property of any Contributor under this Agreement, whether
       
   289 expressly, by implication, estoppel or otherwise. All rights in the Program not
       
   290 expressly granted under this Agreement are reserved.</span> </p>
       
   291 
       
   292 <p><span style='font-size:10.0pt'>This Agreement is governed by the laws of the
       
   293 State of New York and the intellectual property laws of the United States of
       
   294 America. No party to this Agreement will bring a legal action under this
       
   295 Agreement more than one year after the cause of action arose. Each party waives
       
   296 its rights to a jury trial in any resulting litigation.</span> </p>
